LLC Setup Basics Every DSCR Investor in Florida Should Know

Single-Member vs. Multi-Member LLC

Both work for DSCR loans. A single-member LLC (you own 100%) is simpler to document. A multi-member LLC (two or more owners) requires all managing members with 20%+ ownership to sign the personal guarantee and provide ID and credit. For partnerships, this is still straightforward — just requires coordination upfront.

Series LLC (Available in Some States — Not Florida)

Florida does not currently recognize the Series LLC structure that allows multiple properties to be held in sub-LLCs under one parent entity with full liability separation. In Florida, investors who want full property-level separation typically form a separate LLC per property. The additional cost (Florida LLC registration: ~$138/year) is minimal compared to the protection and clean structure it provides.

Keep the LLC Maintained

An LLC only provides legal protection if it’s properly maintained: separate bank accounts, annual reports filed, no commingling of personal and business funds. If the corporate veil is pierced (meaning a court determines the LLC and owner are the same), the liability protection disappears. This is an attorney conversation, not just a lender one.

Frequently Asked Questions

Do I still have to personally guarantee an LLC DSCR loan?
In almost all residential DSCR programs, yes — the primary member(s) of the LLC must personally guarantee the loan. This is called full recourse. The LLC holds title and is the borrower of record, but the personal guarantee means the lender can pursue the individual if the LLC defaults. The protection is asset separation (other properties and assets not named as collateral), not immunity from the debt itself.
Can I transfer a property from my personal name to an LLC after closing?
Technically yes, but carefully. Transferring title from personal name to an LLC after closing can trigger the due-on-sale clause in your mortgage — giving the lender the right to call the loan due immediately. Some lenders issue a letter of non-objection for this transfer; others don’t. DSCR lenders who underwrite to LLCs from the start avoid this issue entirely. If you already own properties personally and want to transfer them to an LLC, consult a real estate attorney and notify your lender beforehand.
How many DSCR loans can one LLC hold?
There’s no hard limit on DSCR loans per entity. However, individual lenders may have their own overlays — for example, limiting portfolio exposure per entity or requiring higher reserves as the LLC’s property count grows. Many serious investors use multiple LLCs (one per property or one per market) rather than stacking everything in one entity.
Can a foreign national be a member of the LLC that takes out a DSCR loan?
Yes — as a minority member. If a foreign national owns a minority interest in an LLC (under 50%) alongside a U.S. person who holds the majority and signs the full recourse guarantee, the LLC can typically qualify for DSCR financing under standard guidelines. The foreign national does not need to sign the guarantee. This is a legitimate structure used regularly by international investors partnering with U.S.-based co-investors.
Does the LLC need its own credit history?
No. For DSCR loans, the LLC itself doesn’t need business credit history. The loan qualifies on the property’s rental income (DSCR), and the personal credit of the guaranteeing member(s) is the credit evaluation component. The LLC is the borrowing vehicle — not the credit profile.
